Introduction
Chorus Life S.p.A., with registered office at viale Vittorio Emanuele II, 10/M, 24121 – Bergamo, Companies Register – Tax ID and VAT no. 02162710160, Bergamo REA no. 267795 (“Chorus Life“) is the owner of the website choruslife.com, including its third-level domains (such as, by way of example, those dedicated to the services “GNAM“, “Arena” and “L’Angolo Con Vista“) (collectively, the “Site“).
These terms of use of the Site (the “Terms of Use”) govern the provision of the services offered to users through the Site (the “Services“), both free and paid.
In order to use some of the Services offered through the Site, the prior creation of an account is required. Specifically, the Site provides registered users with a reserved area through which it is possible to view and modify their personal data, manage the consents given, and select topics of interest related to the Chorus Life district in Bergamo and access other Services. The user chooses the credentials they intend to use to access the reserved area during the registration process. These must be truthful, correct and complete, and must be kept with extreme care and attention. They may be used only by the user and cannot be transferred to third parties. The user undertakes to keep them secret and to ensure that no third party has access to them, and also undertakes to immediately inform Chorus Life in case they suspect or become aware of any improper use or improper disclosure of them. Alternatively, the user can access the reserved area through one of the social login systems made available by Chorus Life.
Different terms will apply depending on the use of the Site. Section A of the Terms of Use applies to all users, including those who have not created an account (who may use some services, for example a dedicated form for people with disabilities or injuries to request tickets or information for events at the ChorusLife Arena, the contact request function for the baby parking service “Oltre le stelle“, etc.). Section B applies only to registered users. By registering on the Site, it is possible to access, among other things, the service called “Configurator“, manage your personal data, consents and topics of interest, use the reservation service at the restaurant “L’Angolo Con Vista” and at the restaurant “L’Angolino Bistrot & Lounge Bar“, as better described in section B below, as well as enjoy the additional Services as made available by Chorus Life from time to time. The account created by the user is unique and allows access to all Services available on the Site. In case of reservations or purchase of specific Services, specific conditions available on the Site will also apply, which are in any case indicated before the finalisation of the reservation or purchase.
SECTION A – CONDITIONS FOR ALL USERS
Information about the user and their privacy
Information on how Chorus Life uses the data it collects about the user is available in the Site’s Privacy Policy.
This is not part of these Terms of Use, but is an important document that the user is required to read.
Intellectual property
The Site and the Services are licensed to the user by Chorus Life, which is the exclusive owner and/or rightful user of all intellectual property rights related to the Site and the Services, as well as all intellectual property rights related to the source and object codes, methods, algorithms, know-how, documentation, any updates and modifications of the Site and Services, including adaptation, translation, transformation and any other improvement and/or modification, any preparatory material and/or information, data and materials of any other nature related to the Site and the Services. The user does not own any related right of exploitation, except for the rights expressly licensed by Chorus Life.
Chorus Life is the exclusive owner and/or rightful user of the signs “Chorus Life”, as well as of the corresponding business name, sign and domain names, such as ChorusLife.it, ChorusLife.app, ChorusLife.eu and Chorus.life, and of any other distinctive sign shown in the context of the provision of the Services, which the user undertakes not to use in any way, except with the express written consent of Chorus Life.
By way of example and not exhaustively, the user may not: create derivative works of, modify, adapt, rework and/or alter the Site, the Services and/or the documentation received; carry out reverse engineering, decompile, decrypt, disassemble or otherwise attempt to obtain the source code and/or the object code of the Site; make, in any way and/or form, the Services available to third parties, or lease and/or transfer and/or assign in any way and/or form the Services to third parties, unless expressly authorised in writing by the owner of the rights; remove, modify, hide and/or otherwise alter any element and/or identifying information of the Services and of the Site; remove, modify, hide and/or otherwise alter the distinctive signs of Chorus Life, as well as any other information useful to identify Chorus Life as the owner of the rights of exploitation and distribution of the Services, of the Site and of the documentation received.
Links to other websites
The Site may contain hyperlinks to other websites that have no connection with the Site or, in any case, with Chorus Life. The latter cannot be held responsible for the contents of these websites and the rules adopted by them, also with regard to the processing of users’ personal data during browsing operations. Chorus Life therefore offers no warranty and/or makes no statement and/or assumes no responsibility in relation to such links and/or third-party websites and/or in relation to their content and/or any damage arising from their use. The user is solely and exclusively responsible for accessing other sites through links present on the Site.
Who can use the Site?
The Site is reserved for users over 16 years of age. By accessing the Site and, where applicable, at the beginning of the registration procedure, the user confirms that they are at least 16 years old. If the user is under 16, they must not use the Site.
SECTION B – CONDITIONS FOR REGISTERED USERS
Some Services, in particular those involving purchases and reservations, are available only to users over 18 years of age.
Chorus Life may limit access to (or not allow access to) the Site if it detects a serious problem, for example if it reasonably suspects fraudulent activity or a security risk.
Configurator
Among the Services present on the Site and accessible exclusively after registration and access to the reserved area, there is the “Configurator“. This is the digital solution to explore the different types of apartments in the Chorus Life spaces available for rent, configure the apartments according to the user’s needs and make an appointment at Chorus Life to view the apartments live and sign the related rental contracts. Each user cannot configure more than one apartment at a time.
The configuration of an apartment through the Site and/or the booking of an appointment at Chorus Life do not confer any right to the user in relation to said apartment and/or further apartments. In fact, other users or third parties may configure (or have already configured) the apartment and book (or have already booked) an appointment, as well as sign a rental contract. In that case, the apartment may at any time become no longer available.
The Configurator represents a purely informative section of the Site. It is therefore understood that all aspects relating to the pre-contractual and contractual stages of the rental relationships for the apartments will be managed outside the Configurator and, more generally, outside the Site.
Reservation of the restaurants “L’Angolo Con Vista” and “L’Angolino Bistrot & Lounge Bar“
The Site allows registered users, after accessing the reserved area, to make reservations at the restaurant “L’Angolo Con Vista” and at the restaurant “L’Angolino Bistrot & Lounge Bar“. For reservations at the restaurant “L’Angolo Con Vista” for groups of more than five people, the indication of a credit card is required to guarantee the reservation. The specific conditions applicable to the reservation of the restaurants are available on the respective reservation pages.
Rules for using the Site
Prohibited uses
The user must not use the Site for any of the following purposes or perform any of the following actions:
- if the user does not have the capacity to enter into a legally binding contract;
- use the Site in a fraudulent, unreasonable, false, misleading or deceptive manner;
- any action or omission contrary to applicable laws;
- any act that violates the rights of others (such as intellectual property, privacy and/or personality rights of anyone);
- circumvent any technical measure (e.g. anti-virus measures) applied in providing the Site;
- undermine or interfere with the purposes of Chorus Life and/or otherwise compromise the status of Chorus Life as a safe, predictable and reliable site.
Paid Services
Some Services of the Site are paid (the “Paid Services“) and may be offered directly by Chorus Life or by third parties (including other group companies) indicated during the purchase or reservation procedure.
Paid Services are governed, in addition to these Terms of Use, also by specific conditions relating to the various services to which they apply. They are available at the bottom of these Terms of Use.
Some pages of the Site refer, for the purchase of goods and services, to third-party sites, also through links. The goods and services offered by third parties (for example, the purchase and use of tickets for shows at the Arena, the purchase of gift cards) are governed exclusively by the conditions made available from time to time by said third parties.
All Paid Services must be paid for using a valid payment method accepted on the Site.
Any payment processing service available on the Site is provided by a third-party payment service provider, and any purchase may be subject to the conditions of that third-party payment service provider. Chorus Life does not provide any payment processing service on the Site.
The payment methods currently available are credit card, PayPal, Apple Pay and Google Pay.
By clicking on “Pay now” (or on a button with similar wording that signals the obligation of payment), the user places an order for a Paid Service.
If the order is successful, the contract is deemed concluded at the moment in which the user receives a confirmation email from Chorus Life containing the relevant details.
Depending on the type of Paid Service, the user may benefit from the right of withdrawal within 14 days from the date of purchase. In that case, the specific conditions of the service in question will indicate the modalities. In any case, this right is not provided for in the context of reservations or purchases of Services for a specific date or period of performance.
Third-party links and content
In some cases, Chorus Life provides third-party content or links to third-party websites. Chorus Life has no control and assumes no responsibility for the availability, content, privacy policies or commercial practices of third-party websites. Chorus Life assumes no responsibility for the actions or omissions of the latter.
Any interaction the user may have with a third party as a result of using a service offered by third parties will take place between the user and the third party. Chorus Life is not responsible for any transactions with third parties or for the provision of the user’s personal data to third parties.
User’s statements
By accepting these Terms of Use, the user declares to Chorus Life that:
- all the information provided by the user is accurate, complete and will be kept up to date;
- the user undertakes to keep the credentials for accessing their account confidential and acknowledges that they are responsible for the purchases made with their account;
- the user has the capacity and rights to enter into these Terms of Use and to fulfil their obligations under these Terms of Use;
- the user undertakes to comply with these Terms of Use; and
- the user undertakes to comply with all applicable laws whenever they use the Site.
Liability
Chorus Life declines any responsibility for any damages arising from the inaccessibility of the Site and/or for other damages, due to causes not attributable to Chorus Life and which were not reasonably foreseeable by it.
Without prejudice to the foregoing, unless caused by conduct attributable to Chorus Life, Chorus Life is not responsible for:
(a) any use by the user of the Services not authorised under these Terms of Use;
(b) any malfunction of the Site or interruption of the Services due to circumstances beyond the control of Chorus Life that prevent it from fulfilling the obligations assumed towards the user, or that can be considered an “event of force majeure”. This could be due to events such as: (i) lightning, floods, adverse weather conditions, fires, explosions, terrorist activities, epidemics, pandemics, riots, wars, actions of a government or other public authorities, strikes or other trade union actions; or (ii) other actions by third parties beyond the control of Chorus Life;
(c) any malfunction or failure to provide any portion of the Site or of the Services due to: (i) malfunctions or failures relating to equipment, devices, operating systems or internet connection of the user (including malware, viruses or bugs from third parties or on any of the user’s devices); (ii) failure to use an updated browser or one compatible with the Site; (iii) failure by the user to update the device, operating system or third-party software necessary for the correct use of the Site; (iv) unpredictable actions beyond the control of Chorus Life by third parties.
What happens if the user violates these Terms of Use?
If Chorus Life reasonably suspects that the user is in breach of these Terms of Use, it may remove or limit the user’s access to the Site and/or decide to temporarily suspend or permanently close the user’s account, or impose limits on or restrict the user’s access to the features of the Site if:
- it reasonably and objectively believes that the user is seriously or repeatedly violating these Terms of Use;
- it has objective grounds to reasonably believe that the user is about to seriously violate these Terms of Use;
- it is obliged by law to do so; or
- it is necessary to deal with a serious technical or security problem.
Closing the user’s account
The user may decide to end their contractual relationship with Chorus Life in relation to the Terms of Use and their access to the Services at any time by closing their account.
Applicable law and dispute resolution
These Terms of Use are governed by Italian law.
In case of dispute, Chorus Life undertakes to resolve it amicably with the user.
For any dispute relating to these Terms of Use, in which a consumer is a party, the court of the place of domicile or habitual residence of the latter has jurisdiction.
Third-party rights
Unless expressly indicated otherwise, these Terms of Use do not give rise to any right of third parties. No other person will have the right to enforce any of the terms of these Terms of Use.
Assignment of the contract
These Terms of Use and all rights and authorisations granted therein cannot be transferred or assigned by the user, but may be assigned by Chorus Life without limitation. In that case, this will not affect any rights of the user as a consumer.
Changes to these Terms of Use and to the Services
Chorus Life may periodically make changes to these Terms of Use and to the Services. In that case, it will take into account the reasonable interests of the user before doing so.
Chorus Life undertakes to communicate to the user with reasonable advance notice, in a transparent manner, the significant changes to these Terms of Use and to the Services that will have an impact on the user and the date on which they will enter into force. The changes will apply to the relationships between Chorus Life and the user only after the expiry of the notice period. The “Last updated” date at the top of these Terms of Use will also be updated.
In the event that urgent changes are necessary for security, protection, legal or regulatory requirements, Chorus Life may not be able to provide advance notice to the user, but will inform them if possible.
If the user does not accept the changes to the Terms of Use, they must stop using the Site and delete their account.
The reasons why Chorus Life may make changes to these Terms of Use and to the Services are:
- changes in circumstances beyond the reasonable control of Chorus Life;
- legal or regulatory changes;
- contractual changes arising from relationships with its suppliers, partners and assignors in general;
- changes that Chorus Life makes to the Site in the course of normal development of its Services;
- adaptation to new technologies;
- changes to the organisation of itself or of group companies or otherwise involved in the Chorus Life project;
- causes of force majeure that have an impact on the Services;
- change in the number of people who use the Site or any relevant feature or functionality of the Site;
- addition of new services or modification/elimination of existing services; or
- resolution of security issues.
Communications
Chorus Life may provide communications to the user pursuant to these Terms of Use by sending an email to the email address provided by the user in their account or through a notice on the Site.
Waiver
Even if Chorus Life or the user delays in applying a provision of these Terms of Use, each of them may still apply it later. If either of them delays in acting against the other, this will not prevent either of them from acting at a later time.
Severability
If a court, competent to decide on the matter, establishes that any provision of these Terms of Use is invalid, illegal or unenforceable, that provision will be removed from the Terms of Use without prejudice to the rest of the Terms of Use, and the remaining provisions of the Terms of Use will continue to be valid and enforceable, provided that the essential provisions of these Terms of Use remain in force.
